Terms of Use & Legal Notice

This page does three things: it identifies who operates this website, it sets the rules for using it, and it summarises the commercial conditions behind our quotations. It applies to business buyers — importers, distributors, lighting designers and contractors. If you are a consumer, tell us before you order and we will send the conditions that apply to you.

We publish these details to meet the provider identification rules that apply to commercial websites serving the German market — § 5 of the German Digital Services Act (DDG, formerly the TMG) and § 18(2) of the German Interstate Media Treaty (MStV).

2. What these terms cover

These terms govern your use of this website and the information on it. They are not the contract of sale. Supply of goods is governed by the quotation we issue, the proforma invoice you accept and, where we both sign one, a supply agreement. If those documents and this page disagree, the signed documents win.

We sell to businesses. Nothing on this site is an offer capable of acceptance: a listing, a datasheet or a price indication on a page is an invitation for you to request a quotation.

3. Using this website

You may read the site, download catalogues and datasheets, and use them to evaluate whether to buy from us. You may not copy the site's photographs, drawings or text onto another website, marketplace or catalogue without our written permission; you may not scrape it in bulk, mirror it, or use its content to train a commercial model; and you may not use our name or logos in a way that suggests a partnership or endorsement we have not agreed to.

The designs, photographs, drawings, catalogues and text on this site are our property or used with permission and are protected by copyright. Product names and model designations are our trademarks.

We may suspend or withdraw access to the site for maintenance. We try to keep it available continuously but we do not guarantee uninterrupted access.

4. Product information and images

We describe our fixtures as accurately as we can, but specifications on this site are indicative:

• Lumen output, wattage, beam angle and colour consistency are declared values with normal production tolerances; the binding figures are those in the datasheet and the quotation for your order.
• Photographs show the product in a styled setting. Finish, colour temperature and accessories may differ from what your screen shows.
• We improve products continuously. Dimensions, drivers, optics and LED brands may change between batches without notice, provided the fixture still meets the specification you ordered.
• Where we quote a compliance standard — CE, RoHS, IP rating, ERP — the certificate or test report for your configuration is available on request.

If a detail matters to your project, ask us to confirm it in writing before you order. We would rather answer a specification question than replace a shipment.

5. Quotations, samples and tooling

Quotations are valid for 30 days from the date of issue unless the quotation says otherwise, because LED and driver costs move. Prices are exclusive of freight, insurance, duties and taxes unless stated. A quotation reflects the specification, quantity and delivery term you gave us; change any of them and we re-quote.

Samples are charged and the charge is credited against the first production order for the same model where the quotation says so. Custom housings, optics and finishes need tooling and a development fee, quoted separately and confirmed in writing before work starts. Tooling we pay for remains ours; tooling you pay for is used only for your orders.

6. Orders, delivery and payment

An order becomes binding when we confirm it in writing and you pay the deposit. Unless we agree otherwise:

• Minimum order quantities apply per model and are shown on the quotation.
• Lead time runs from receipt of deposit and approval of artwork, packaging and any pre-production sample. Production is typically 25 to 35 days for standard fixtures and longer for custom work.
• Delivery terms follow Incoterms 2020 — EXW, FOB or CIF as stated in the quotation. Risk passes at the point the chosen term provides.
• We may ship in partial consignments where a project needs staged delivery; each consignment is invoiced separately.
• Payment is by bank transfer, normally 30% deposit with the balance before shipment, unless the quotation states credit terms.
• Late payment carries interest at 1% per month from the due date, and we may suspend further shipments while an invoice is overdue.

You are responsible for import clearance, duties, and confirming that the product meets the electrical and labelling rules of your market. We supply the declarations and test reports needed for that check.

7. Warranty

Our luminaires carry a five-year warranty from delivery against manufacturing defects, running within the rated electrical and thermal conditions of the datasheet.

The warranty covers repair, replacement or credit at our choice. It does not cover: installation or wiring faults, use outside the rated voltage, temperature or IP conditions, unauthorised modification or repair, damage in transit after risk has passed, force majeure, or normal lumen depreciation within the declared L70 or L80 curve and the declared failure rate.

To claim, send us the model, batch code, invoice number, a photograph of the fault and the installation conditions. We confirm the cause and the remedy in writing. Return freight is yours unless we confirm the defect; replacement freight is ours.

8. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, for fraud, and under mandatory product liability law. In all other cases our liability for a single order is limited to the value of that order, and we are not liable for lost profit, lost production, contract penalties or other indirect loss, to the extent the law allows us to exclude it.

We are not liable for content on websites we link to. Links are provided for reference — to standards bodies, certification registers or industry associations — and we do not control those pages.

9. Governing law and disputes

These terms and any supply contract are governed by the laws of the People's Republic of China, excluding its conflict-of-law rules. The courts of Zhongshan, Guangdong, have jurisdiction over disputes, and the language of any proceeding is English or Chinese.

If you are established in the European Union, this choice of law does not remove the protection of mandatory rules of your own country that cannot be derogated from by agreement. Before either of us starts proceedings, we ask that you raise the issue in writing and give us 30 days to resolve it — in practice, most disputes are a specification or a shipping delay that a call settles.

10. Changes and contact

We update these terms when our processes change. The version published here at the time of your order is the one that applies to it, and the date at the top of the page records the last change.
